Welcome to Greatfull LLC, a Delaware limited liability company (“Greatfull LLC”). The following explains our terms and conditions of use (“Terms” or “Terms of Use”). Please carefully read these Terms of Use before using or obtaining any information, material, products or services through our website (“Website”). Accessing or using any data, content, materials, information, products or services provided by Greatfull LLC (“Our Service”) binds you to our Terms of Use.

If you do not agree to all of these Terms of Use, you may not use Our Service in any way. The terms "Greatfull LLC" or “our” or "us" or "we" refer to Greatfull LLC.

We encourage you to regularly review the following Terms of Use as we may amend them from time to time.

DEFINITIONS

“Gift Organizer” means the person who manages the group gifting process.
“Gift Recipient” means the individual who receives the Trail of Greatfull Mail and the Gift Card (if included) and who is entitled upon verification to use the Gift Card for purchases and/or services.
“Participant” means any individual who contributes a Mail Message and can also choose at their discretion to financially contribute towards a group gift card for a Gift Recipient.
“Mail Message” means any written or visual content, including but not limited to text, images, or other media, that a Gift Participant or Gift Organizer uploads, sends, or contributes as part of a Trail of Greatfull Mail.
“Gift Card” means prepaid cards or electronic codes that can be used as payment at participating retailers or for specific services, offered through Prezzee USA (our “Gift Card Service Provider”).
“Trail of Greatfull Mail” means a collection of Mail Messages with a Gift Card (if included) or a collection of stand alone Mail Messages intended for a Gift Recipient.

GENERAL

The content of the pages of our Website, and the products and services available through Our Service, are subject to change without notice. Continued use of Our Service constitutes acceptance of any changes to our Terms and other guidelines or policies governing Our Service.

You may utilize Our Service only if you are over the age of eighteen (18) and are capable of entering into contracts. Individuals under the age of eighteen (18) may use Our Service only with the written consent of their legal parent or guardian.

Our Services are owned and operated by Greatfull LLC, a Delaware limited liability company with a place of business at 651 North Broad Street, Suite 201 Middletown DE 19709.

Our Service provides Participants with the ability to have a Mail Message automatically created by Greatfull LLC at no cost with the option to contribute towards a group-funded Gift Card. Terms and conditions related to the optional Gift Card are outlined herein below.

CONDUCT ON WEBSITE

You agree to obey all applicable rules and regulations in using the Website and agree that you are responsible for the content included in your Mail Message and any communications you submit through the Website.

You agree that you will not upload, share, or otherwise distribute any Mail Message— including text, graphics, images, data, or other information — that:
are unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, or impersonate another person;
contain explicit or graphic descriptions or accounts of sexual acts (including but not limited to sexual language of a violent or threatening nature directed at another individual or group of individuals), or in any way violate child pornography laws;
victimize, harass, degrade, or intimidate an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
infringe on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party;
constitute unauthorized or unsolicited advertising, junk or bulk email (also known as "spamming"), chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling;
contain software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party;
contains measures that could be used to determine the architecture of the Website, or could be used to decompile, disassemble, or reverse engineer the Website;
or are to be used for a commercial purpose of any kind.

We do not endorse the contents of any Mail Message, and expressly disclaim any and all liability in connection with Mail Messages. We do not pre-screen or monitor Mail Messages. However, we have the right at our sole discretion to remove any content of any kind that, in our judgment, does not comply with these Terms of Service and any other rules of user conduct for our Website, or is otherwise harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing such content. You hereby consent to such removal and waive any claim against us arising out of such removal of content.

If you would like to notify us of content which you believe does not comply with these Terms of Service, please email us at hello@greatfull.world. Make sure to include the Uniform Resource Locator ("URL") for the non-complying content, a screenshot and the reasons you believe it does not comply. You understand that in using this Website, you may be exposed to materials that are objectionable as set forth above. You hereby waive and agree to waive all rights, claims, and actions in law or equity against Greatfull LLC arising from your exposure to such materials.

USER ACCOUNT

It is your exclusive obligation to maintain and control passwords to your account. You are exclusively responsible for all activities that occur in connection with your username and password. You agree to immediately notify Greatfull LLC of any unauthorized uses of your username and password or any other breaches of security. Greatfull LLC will not be liable for any loss or damages of any kind, under any legal theory, caused by your failure to comply with the foregoing security obligations or caused by any person to whom you grant access to your account.

You may not use your account to breach security of another account or attempt to gain unauthorized access to another network or server. Users who violate systems or network security may incur criminal or civil liability.

You agree that we may at any time, and at our sole discretion, terminate your account without prior notice to you and without reimbursement if we suspect a violation of any of these Terms of Service. In addition, you acknowledge that we will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in investigating suspected criminal violations.

The language of these Terms of Use is not in any way intended to constitute an agency relationship, joint venture, or partnership for any purpose.

LINKED SITES

Our Service provides links to other sites by allowing you to leave Our Service to access third-party material or by bringing third-party material into this Website via “inverse” hyperlinks and framing technology (a “Linked Site”). Greatfull LLC has no discretion to alter, update, or control the content on a Linked Site. The fact that Greatfull LLC has provided a link to a site is not an endorsement, authorization, sponsorship, or affiliation with respect to such site, its owners, or its providers and is intended for your convenience. There are inherent risks in relying upon, using, or retrieving any information found on the Internet, and Greatfull LLC urges you to make sure you understand these risks before relying upon, using, or retrieving any such information on a Linked Site. These Linked Sites include, but are not limited to, our payment processor Stripe and our third-party gift card provider, Prezzee USA. Greatfull LLC shall not be liable for any damages, losses, or issues arising from the use or reliance on, content or services provided by the Linked Sites, including any Gift Card purchases or transactions. Any interactions, transactions, or disputes with any linked third-party sites are solely between you and the third party. Greatfull LLC disclaims any and all responsibility for such matters, including the misuse of any information obtained from such third parties.
All content, products and services on our service, or obtained from a Linked Site are provided to you “as is” without warranty of any kind either express or implied including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose, title, non-infringement, security or accuracy. Some states or jurisdictions do not allow the exclusion of certain warranties, so some of the above limitations may not apply to you.
Greatfull LLC does not endorse and is not responsible for (i) the accuracy or reliability of an opinion, advice or statement made through Our Service by any party other than Greatfull LLC, (ii) any content provided on Linked Sites or (iii) the capabilities or reliability of any product or service obtained from a Linked Site. Other than as required under applicable consumer protection law, under no circumstance will Greatfull LLC be liable for any loss or damage caused by your reliance on any information, product or service obtained through Our Service or a Linked Site. It is your responsibility to evaluate the accuracy, completeness or usefulness of any opinion, advice or other content available through Our Service, or obtained from a Linked Site. Please seek the advice of professionals, as appropriate, regarding the evaluation of any specific opinion, advice, product, service, or other content.

TERMINATION, RESTRICTION & SUSPENSION

Greatfull LLC retains the right to terminate, restrict or suspend your use of Our Service at any time in its sole discretion without prior notice. Failure to comply with these Terms of Use, Privacy Policy or any other Greatfull LLC policy constitutes a breach that may result in the termination of your use of Our Service. Failure to address any said breach of you or another party does not waive our right to act on similar breaches.

LIABILITY

Your use of any information or materials from Our Service is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through our service meet your specific requirements.

The information, products and descriptions of services published on our Website or Linked Sites may include inaccuracies or typographical errors, and Greatfull LLC specifically disclaims any liability for such inaccuracies or errors. Greatfull LLC does not warrant or represent that the content on our website is complete or up-to-date. Greatfull LLC is under no obligation to update the content on our Website. Greatfull LLC may change the content on our website at any time without notice. Greatfull LLC may make improvements or changes to our website at any time.

Greatfull LLC is not responsible if the Gift Recipient’s contact information is incorrect, the redeemable Gift Card is not deliverable, or the Gift Card is delivered to someone other than the intended Gift Recipient. We encourage the Gift Organizer to carefully ensure all of the Gift Recipient's contact information is accurate and up to date. We also encourage the Gift Organizer to confirm with the Gift Recipient that the Gift Card was received.

You agree that Greatfull LLC, its affiliates and any of their respective officers, directors, employees, or agents will not be liable, whether in contract, tort, strict liability or otherwise, for any indirect, punitive, special, consequential, incidental or indirect damages (including without limitation lost profits, cost of procuring substitute service or lost opportunity) arising out of or in connection with the delay or inability to use our Website even if Greatfull LLC is made aware of the possibility of such damages. This limitation on liability includes, but is not limited to, the transmission of any viruses which may infect your equipment, failure of mechanical or electronic equipment or communication lines, telephone or interconnect problems (e.g., you cannot access your internet service provider), unauthorized access, theft, operator errors, strikes or other labor problems or any force majeure. Greatfull LLC cannot and does not guarantee continuous, uninterrupted or secure access to our Website.

INDEMNIFICATION

You agree to indemnify and hold Greatfull LLC, Linked Sites, and each of their respective parents, subsidiaries, affiliates, officers and employees, harmless from any liabilities, claims, expenses or demands, including reasonable attorneys' fees and costs, made by any third party due to or arising out of (a) your use or misuse of the Website or Our Services, (b) the viewing of your content or Mail Message, (c) the violation of laws, rules, regulations or terms this Agreement, (d) your failure to comply with Greatfull LLC’s terms of service or other terms of any open source licenses, if applicable,(e) infringement by your content, by you, or by someone using your account, of any intellectual property, privacy, publicity, or any other right of any person or entity. Greatfull LLC reserves the right, at each of their own expenses, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Greatfull LLC in asserting any available defenses.

PRIVACY

By accessing and using our Website and Our Service, you agree to be bound by the terms found in our Privacy Policy.

INTELLECTUAL PROPERTY

The trademarks, logos and service marks ("Marks") displayed through our Website are the property of Greatfull LLC and other parties. You are prohibited from using any Marks for any purpose including, but not limited to use as keywords, or metatags on other pages or Websites on the World Wide Web without the written permission of Greatfull LLC or such third party which may own the Marks. All information and content located on our Website is protected by copyright and your access to such information on our Website is strictly permitted through the limited non-exclusive license granted under these Terms. You are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any content available on or through our Website for commercial or public purposes. Unauthorized use of our Website may give rise to a claim for damages and/or may constitute a criminal offense.

PAYMENT

It is your responsibility to ensure that all personal, billing and payment information provided to us is up-to-date and accurate.

ENFORCEABILITY

If any of the Terms or provisions contained herein are deemed to be invalid or unenforceable, the other Terms or remaining provisions shall remain valid and enforceable.

GOVERNING LAW

Your use of our Website and Our Service and any dispute arising out of such use of our Website and Our Service is subject to the laws of the State of Delaware, United States of America and applicable federal law without regard to conflicts of laws principles. The prevailing party of any such action shall recover all expenses incurred in that action, including but not limited to attorney’s fees and court costs. You further agree that any dispute arising out of these Terms of Use shall be resolved individually, apart from any form of class action lawsuit.

DISPUTE RESOLUTION

Resolution Between the Parties. Before initiating any formal dispute resolution process, both parties agree to make a good faith effort to resolve any disputes, claims, or controversies arising out of or in connection with the use of this Website, these Terms and Conditions, or any products or services provided by Greatfull LLC. This effort shall include direct communication between the parties, with the goal of resolving the dispute informally through discussion, negotiation, or other informal means.

Mediation: Any controversy or dispute arising out of or relating to these Terms and Conditions will be submitted to mediation in accordance with the JAMS Mediation Rules. Arbitration: If the dispute is not resolved through mediation within 30 days, the parties agree to submit the dispute to binding arbitration under the JAMS Comprehensive Arbitration Rules and Procedures. Arbitration will be administered by JAMS and conducted by a neutral arbitrator selected in accordance with the JAMS Rules. The arbitration will take place in Wilmington, Delaware, or in a location determined by JAMS. For international clients, the arbitration will be conducted in a neutral venue as agreed by both parties, and may be conducted remotely via teleconference or videoconference, depending on the circumstances and availability of the arbitrator. The parties agree that the decision of the arbitrator will be final and binding, and judgment on the award may be entered in any court having jurisdiction.

Costs: The costs of mediation and arbitration, including the arbitrator’s fees, shall be shared equally by the parties, unless the arbitrator determines otherwise. Each party will bear its own costs for negotiation and other legal expenses unless otherwise ordered by the arbitrator.

Confidentiality: All mediation and arbitration proceedings shall be confidential, and the parties agree not to disclose the existence, content, or results of the dispute resolution process, except as required by law or for the purpose of enforcing the arbitration award.

Governing Law: These Terms and Conditions and any dispute arising out of or related to them will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Jurisdiction and Venue: If arbitration is not enforceable or applicable, any legal action or proceeding related to these Terms and Conditions shall be brought exclusively in the courts of Wilmington, DE, and you consent to the exclusive jurisdiction of such courts.

NOTICES

All notices to Greatfull LLC shall be in writing and shall be made either via email or conventional mail. Notices to us must be sent to the attention of Customer Service at hello@greatfull.world, if by email, or at Greatfull LLC, 2810 N Church St PMB 357225 Wilmington, Delaware 19802-4447 US, if by conventional mail.

Notices to you may be sent either to the email address supplied for your account or to the address supplied by you when registering or updating your account. In addition, we may broadcast notices or messages through the site to inform you of changes to the site or other matters of importance, and such broadcasts shall constitute notice to you.

Any notices or communication under these Terms of Service will be deemed delivered to the party receiving such communication (1) on the delivery date if delivered personally to the party; (2) two business days after deposit with a commercial overnight carrier, with written verification of receipt; (3) five business days after the mailing date, if sent by US mail, return receipt requested; (4) on the delivery date if transmitted by facsimile; (5) on the delivery date if transmitted by email; or (6) immediately if broadcast by Greatfull LLC.

If any provision of this Agreement shall be unlawful, void or unenforceable for any reason, the other provisions shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent.

MISCELLANEOUS

You agree that this Agreement may be assigned by Greatfull LLC, in our sole discretion, to any third party at any time. You may not transfer or assign any of your rights and obligations under this Agreement, and any attempt to do so will be null and void.

This Agreement, together with the site Privacy Policy, shall constitute the entire agreement and understanding between us concerning the subject matter hereof and supersedes all prior agreements and understanding of the parties with respect thereto.

Any attempt to modify or supplement the terms of this Agreement and/or the Privacy Policy shall be null and void unless agreed to in writing signed by both parties.

Any failure by us to enforce or exercise any provision of these Terms of Service or related rights shall not constitute a waiver of that right or provision.

In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorney fees.

FEEDBACK

While we encourage you to provide feedback, comments and questions, it is possible that we may not be able to respond to each one. You are responsible for messages, materials and the content of all submissions and it is your responsibility to ensure any said message is accurate, reliable, original and does not infringe upon the intellectual property rights of others.

GIFT CARDS

Our Service may allow you to create, contribute to, and/or receive a Trail of Greatfull Mail. During the creation of a Mail Message using Our Service, the Participant may have the option to contribute towards a Gift Card for a Gift Recipient.
A Gift Card may be funded by multiple Participants.
You must be at least 18 years or older to purchase a Gift Card.
You must use a valid payment method, such as a credit card or accepted alternative payment method.
Gift Card Donation Limits. The Participant may be given different gift options and limits (such as limiting the individually contributed amount and/or the total Gift Card amount for the Gift Recipient), and certain minimum or maximum value requirements may apply to Gift Cards, all of which Greatfull LLC reserves the right to change at any time at its sole discretion. For clarity, current transaction limits include a $5 minimum purchase, contributions in $5 increments, a maximum contribution of $100 per Participant, and a maximum total contribution of $10,000 per Trail of Greatfull Mail. Other limits may apply and will be subject to the terms and conditions of the Linked Sites.
Gift Card Processing and Handling Fees. Participants who choose to contribute towards a gift card will be charged a $1.50 handling fee. Additionally, a Stripe payment processing fee of 2.9% + $0.30 will be applied to the total transaction amount, which is calculated on the gift card value plus the $1.50 handling fee. Once a gift card purchase is completed, the participant will receive an email confirmation and receipt detailing the transaction.
Processing Time for Card Purchases Exceeding $1,000.00. We reserve the right to implement an extended processing period prior to the release of the Gift Card to the Gift Recipient. This additional processing time is necessary to conduct required verification procedures and to prevent potential fraudulent activity. The exact duration of this extended processing period shall be determined at our sole discretion and may vary based on the specific verification requirements applicable to the transaction. By purchasing a Gift Card of significant value, you acknowledge and agree to the possibility of such an extended processing time.
Gift Card Recipient Verification. In an effort to facilitate secure, legitimate and authentic transactions, and at no additional fee, all Recipients of Gift Cards purchased through our Website must complete identity verification through our payment processor, Stripe, before redeeming their Gift Card. This verification process is designed to protect both Participants and Gift Recipients from fraud. For the most current information on Stripe’s verification procedures, please visit Stripe Identity. The verification process may include:
1. The Gift Recipient must provide a valid ID scan, as governed by Stripe’s policies and procedures. The verification process is part of Stripe’s security measures and is subject to their policies and procedures, which may change at their discretion. To redeem the Gift Card, Gift Recipients agree to comply with Stripe's verification requirements. This includes the submission of required identification documents and any other information requested by Stripe to complete the verification process. The privacy and handling of personal data during the verification process are governed by Stripe’s Privacy Policy. We encourage both Participants and Gift Recipients to review Stripe’s Privacy Policy to understand how their personal information will be collected, used, and protected during this process. Any identity verification materials submitted by Gift Recipients are processed, managed, and securely handled by our payment processor, Stripe.
2. If a Gift Recipient does not complete the verification process or does not meet Stripe’s verification requirements, Greatfull LLC reserves the right to withhold the issuance of the Gift Card. No Gift Card will be issued to the Gift Recipient until successful identity verification is completed. Verification of the Gift Recipient must be completed within 90 days of the Trail of Greatfull Mail being delivered to the Gift Recipient.
3. Greatfull LLC is not responsible for any delays, issues, or failures related to the verification process carried out by Stripe. Any problems related to identity verification should be addressed directly with Stripe.
4. Greatfull LLC is not responsible if the Gift Recipient's contact information is incorrect, the Gift is not deliverable, or the Gift is delivered to someone other than the intended recipient. We encourage the Participant to carefully ensure all of the recipient's contact information is accurate and up to date. We also encourage the Participant to confirm with the Gift Recipient that the Mail Message and/or Trail of Greatfull Mail Messages and Gift Card were received.
International Processing Fees. For Gift Card purchases made with non-U.S. credit cards, international processing fees may be applied by our payment provider, Stripe.
Refund Policy. At Greatfull LLC, we do not customarily offer refunds. However, refunds may be processed in the following circumstances, at our sole discretion:
1. Cancellation of Trail of Greatfull Mail: You may request to cancel a Trail of Greatfull Mail within the approved cancelation period of 48 hours before scheduled delivery. To initiate a cancellation request, the Gift Organizer must email hello@greatfull.world with their name, the email address associated with their account and the Gift Recipient name and email address. Once approved, a refund will be issued to all Gift Participants for the face value of their gift card contribution, less any applicable processing and handling fees.
2. Gift Recipient Verification Failure: The Gift Recipient must complete the verification process within 90 days from the date the Trail of Greatfull Mail is delivered. Failure to complete verification within this timeframe will result in the cancellation of the Gift Card issuance. In such cases, refunds may be processed to the Gift Participants for the face value of their gift card contribution, less any applicable processing, handling or verification fees.
Greatfull LLC reserves the right to evaluate and approve refunds at its discretion. Under no circumstances will Greatfull LLC be held responsible or liable for any refunds not explicitly provided for under this policy.
Merchant Gift Card Use and Refund Limitations. Gift card contributions are redeemed through merchant-specific gift cards, which must be used on the applicable retailer's website or physical location, subject to their terms and conditions. Merchant gift cards are not reloadable or refundable through Greatfull LLC.
Refunds related to gift card contributions will only be processed as outlined in the Refund Policy section above.
Greatfull LLC is not liable for issues related to late or failed delivery of products or services purchased through a retailer, product defects, breaches of warranty (express or implied), or a retailer's failure to redeem the gift card.

SHARING OF GREATFULL MAIL CONTENT

When creating a Mail Message, Participants will have the option to indicate whether they wish to share their message with all Participants in the project by ticking a box. If the box is ticked, your Mail Message, including any uploaded photos and written communications, will be visible to all individuals who contributed to the Trail of Greatfull Mail. If the box is not ticked, the Mail Message will remain private, viewable only by the Gift Organizer and the Gift Recipient.
By creating a Mail Message and uploading any content, including images, you confirm that you have the necessary rights to use and share such content. You further acknowledge and agree that Greatfull LLC may use the content of your Greatfull Mail for any purpose, including, but not limited to, marketing, promotional, or advertising activities. Once submitted, the Mail Message becomes the property of Greatfull LLC, and we reserve the right to use, display, modify, or distribute it without further consent.
Please be aware that there is no guarantee of privacy, and we make best efforts we are not liable for any errors in the sharing process, including instances where a Mail Message is inadvertently shared with the group despite the opt-out box being unticked. By using this service, you acknowledge and accept that the content of your Mail Message may be shared as described above and may be used by us for marketing and other purposes.

CANCELLATION OF PROJECT AND GIFT CARD DELIVERY

We can only guarantee cancellation of a Trail of Greatful Mail 48 hours before the project delivery date with the Gift Organizer. If the Gift Organizer wishes to make a cancellation, please email our customer service team at hello@greatfull.world.
If the Trail of Greatfull Mail is canceled, the Gift Card will not be delivered to the intended Gift Recipient, and the contributions made by Participants will not be refunded. You acknowledge that Greatfull LLC is not liable for any damages, losses, or inconveniences resulting from the cancellation of a project and waive any claims against us related to such cancellations. By contributing to a Gift Card or participating in a Trail of Greatfull Mail, you agree that your participation is voluntary and that Greatfull LLC bears no responsibility for any changes, cancellations, or disputes related to the project, including the non-delivery of the Gift Card.

COUNTRIES OF OPERATION

Greatfull LLC operates exclusively in countries supported by our payment processor, Stripe, and our gift card partner, Prezzee USA. Gift recipients must reside within one of the 50 U.S. states or U.S. territories to be verified and eligible to redeem their gift card. The availability of our services is subject to the operational regions of Stripe and Prezzee USA, and these regions may change in accordance with their respective terms and conditions. For the most up-to-date information on supported countries and territories, please refer to Stripe’s Terms and Prezzee USA’s Terms.

RESPONSIBILITY AND LIABILITY DISCLAIMER.

By using the Our Service, including but not limited to submitting Mail Messages, making payments, contributing to Gift Cards, or by joining someone’s Trail of Greatfull Mail, you acknowledge and agree that you are fully responsible for your actions and the content you submit. Greatfull LLC shall not be held responsible for any misuse of the website, including but not limited to financial fraud, impersonation, or other illegal activities, and disclaims any liability arising from such misuse.
By using a credit card for transactions on our Website, you represent and warrant that you are the authorized cardholder or have explicit permission from the cardholder to complete the transaction.
